Knowledge Recycled Limited Terms of Use

Welcome to Knowledge Recycled and our Terms of Use (the “Agreement”).

These Terms of Use (“Terms” or “Terms of Service” or “Terms and Conditions”) describe our commitments to you, and your rights and responsibilities when using our services and platform. Please read them carefully and reach out to us via email (support@knowledgerecycled.com) if you have any questions.

Terms of Service

These Terms constitute a legally binding agreement ("Agreement") between you and Knowledge Recycled Limited (as defined below) governing your access to and use of the Knowledge Recycled website, our blog, including any subdomains thereof, and any other websites through which Knowledge Recycled makes its services available (collectively, "Site") and all associated services, as well as all content and Knowledge Recycled Limited products and services at or through these websites (collectively, “Knowledge Recycled Services”) including, without limitation, www.knowledgerecycled.com and www.knowledgerecycled.co.uk pursuant to which we offer online classes and make available our unique online classes for purchase (“the Products”).

The Site, Knowledge Recycled Services and the Products together are hereinafter collectively referred to as the “Knowledge Recycled Platform”. When these Terms mention “Knowledge Recycled” “we,” “us,” or “our,” it refers to Knowledge Recycled Limited, Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA, United Kingdom. You agree to be bound by the terms and conditions contained in this Agreement and all other terms incorporated herein by reference.

These Terms and this Agreement applies to, and governs, visitors’ access to and use of any websites, classes or experiences that use the Knowledge Recycled Platform, such as classes hosted and promoted on our Knowledge Recycled Platform that are operated by our experts or hosts or instructors (collectively “Instructors”).  This Agreement applies to all Instructors providing their knowledge via online classes to sell through the Knowledge Recycled platform, all visitors who visit and browse the website, all users who purchase anything through the website (including but not limited to tickets for classes), all users who participate in classes (“Students”), and all other users of the Knowledge Recycled Platform. Everyone described above will be collectively termed “Users”.

The Knowledge Recycled Platform is offered subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Knowledge Recycled Limited’s Privacy Policy), and procedures that may be published from time to time by Knowledge Recycled Limited. You agree that we may automatically upgrade the Knowledge Recycled Platform, and the Agreement will apply to any upgrades. Please read the Agreement carefully before accessing the Knowledge Recycled Platform. By accessing or using any part of the Knowledge Recycled Platform, you agree to become bound by the Agreement. If you do not agree to all the terms of the Agreement, then you may not access or use the Knowledge Recycled Platform. We reserve the right, at our sole discretion, to change or modify portions of this Agreement at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date this Agreement was last revised. You may read a current, effective copy of this Agreement at any time by selecting the “Terms of Use” link on the Site. Your continued use of the Knowledge Recycled Platform after any such changes constitutes your acceptance of the new Agreement. If you do not agree to abide by this or any future Agreement, do not use or access (or continue to use or access) the Knowledge Recycled Platform.

We continually test new features, functionalities, services, user interfaces and Products that we are considering incorporating into or providing through the Knowledge Recycled Platform. We reserve the right to include or exclude you from these tests without notice.

Some of the Services on the Knowledge Recycled Platform may be subject to additional terms and conditions we specify from time to time; your use of such Services is subject to those additional terms and conditions, which are incorporated into this Agreement by reference.

Instructors alone are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to their classes. For example, in the UK it is illegal for anyone under the age of 18 to consume alcohol. Instructors are alone responsible for identifying and obtaining any required licenses, permits, or registrations for any Instructor Services they offer. Certain types of Instructor Services may be prohibited altogether. Any questions you may have about how the law applies to your class listing (s) and Instructor service(s) on Knowledge Recycled, you should always seek legal advice.

1. Who’s Who

Throughout these Terms, “you” applies to all Users that access or use the Knowledge Recycled Platform. If you are an individual using our Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to the Agreement and that by using our Service(s), you are accepting the Agreement on behalf of that entity. Your Agreement is with Knowledge Recycled Limited.

2. Minimum Age Requirements

The Knowledge Recycled platform is not directed to children. Access to and use of our Services is only for those over the age of 13 (or 16 in the European Union). If you are younger than this, you may not register for or use the Knowledge Recycled platform. Any person who registers as a user or provides their personal information to our Services represents that they are 13 years of age or older (or 16 years or older in the European Union).

You are solely responsible for ensuring that your use of the Knowledge Recycled Platform complies with all laws, rules and regulations applicable to you. If you are a minor, you may wish to consult your parents about what portions of the Knowledge Recycled Platform are appropriate for you. The right to access the Knowledge Recycled Platform is revoked where this Agreement or use of the Site is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation.

3. Responsibility of Users for User Content

We have not reviewed, and cannot review, all of the content (such as, but not limited to, text, photo, video, audio, or other materials, information provided in classes, Instruction information provided in classes, text, photo, video, audio, or other materials shown and provided in Classes) posted and used in conjunction with the Knowledge Recycled platform by Users or anyone else (“User Content”) and are not responsible for any use or effects of such User Content. So, for example:

4. Third Party Sites

The Knowledge Recycled Platform may contain links to third party websites, services or other resources on the Internet, and other websites, services or resources may contain links to the Knowledge Recycled Platform (“External Sites”). These links are provided solely as a convenience to you and not as an endorsement by us of the content on such External Sites. The content of such External Sites is developed and provided by others. We are not responsible for the content of any linked External Sites and do not make any representations regarding the content or accuracy of any materials on such External Sites. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods or services available on or through any External Sites.

We have not reviewed, and cannot review, all of the material, including computer software, made available through External Sites. For example:

These Terms were originally written in English (UK). We may translate these terms into other languages. In the event of a conflict between a translated version of these Terms and the English version, the English version will control.

7. Scope of Knowledge Recycled Services

The Knowledge Recycled Platform is an online marketplace that enables Users and certain third parties who offer services (Users and third parties who offer services are “Instructors” and the services they offer are “Instructor Services”) to publish such Instructor Services on the Knowledge Recycled Platform (“Listings”) and to communicate and transact directly with Users that are seeking to book such Instructor Services (Users using Instructor Services are “Students”). Instructor Services may include single or multi-day activities in various categories (“Classes”) and a variety of other knowledge and non-knowledge related services.  

Instructors alone are responsible for their Listings and Instructor Services. When Students make or accept a booking, they are entering into a contract directly with each other. Knowledge Recycled is not and does not become a party to or other participant in any contractual relationship between Users. Knowledge Recycled is not acting as an agent in any capacity for any User, except as specified in the Payment Terms.

While we may help facilitate the resolution of disputes, Knowledge Recycled has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Instructor Services, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, or other Users Content (as defined below), or (iii) the performance or conduct of any User or third party. Knowledge Recycled does not endorse any Users, Listing or Host Services. Any such description is not an endorsement, certification or guarantee by Knowledge Recycled about any User, including of the Users identity or background or whether the User is trustworthy, safe or suitable. You should always exercise due diligence and care when deciding whether to participate in a Class or Event or use other Instructor Services, or communicate and interact with other Users, whether online or in person. Images (as defined below) are intended only to indicate a photographic representation of a Class at the time the photograph was taken and are therefore not an endorsement by Knowledge Recycled of Class or Instructor or Listing.  

If you choose to use the Knowledge Recycled Platform as an Instructor your relationship with Knowledge Recycled is limited to being an independent, third-party contractor, and not an employee, agent, joint venture or partner of Knowledge Recycled for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of Knowledge Recycled. Knowledge Recycled does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms specifically, including in connection with your provision of the Instructor Services. You acknowledge that you have complete discretion whether to list Instructor Services or otherwise engage in other business or employment activities.  

To promote the Knowledge Recycled Platform and to increase the exposure of Classes to potential Students, Listings and other forms of User Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. Knowledge Recycled cannot guarantee the accuracy or quality of any translations of User Content and Knowledge Recycled Platform content and Users are responsible for reviewing and verifying the accuracy of such translations.

Knowledge Recycled is not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Knowledge Recycled Platform. Knowledge Recycled may, temporarily and under consideration of the Users’ legitimate interests (e.g. by providing prior notice), restrict the availability of the Knowledge Recycled Platform or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Knowledge Recycled Platform. Knowledge Recycled may improve, enhance and modify the Knowledge Recycled Platform and introduce new Knowledge Recycled Services from time to time. Knowledge Recycled will provide notice to Users of any changes to the Knowledge Recycled Platform, unless such changes are of minor nature without having a material effect on the parties’ contractual obligations.

8. Users

Users of the Knowledge Recycled Platform shall not: (i) use a name of another person with the intent to impersonate that person; (ii) use a name subject to any rights of a person other than you without appropriate authorization; or (iii) use a name that is otherwise offensive, vulgar or obscene. You may never teach another person's class for the Knowledge Recycled Platform without permission. You must notify us immediately of any change in your eligibility to use the Site. You have the ability to stop using the site at any time.

9. Use of the Site

The Site contains material, including but not limited to software, text, graphics and images (collectively referred to as the “Content”). We may own the Content, or portions of the Content may be made available to us through arrangements that we have with third parties. We do not guarantee that any Content you access on or through the Site is or will continue to be accurate. Unauthorized use of the Content may result in violation of copyright, trademark, and other laws. You have no rights in or to the Content, and you will not use, copy or display the Content. No other use is permitted without our prior written consent. You must retain all copyright and other proprietary notices contained in the original Content on any copy you make of the Content. You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for any public or commercial purpose. The use or posting of any of the Content on any other website or in a networked computer environment for any purpose is expressly prohibited. If you violate any part of this Agreement, your right to access and/or use the Content and Site shall automatically terminate and you shall immediately destroy any copies you have made of the Content.

The trademarks, service marks, and logos of Knowledge Recycled (the “Knowledge Recycled Trademarks”) used and displayed in connection with the Services are registered and unregistered trademarks or service marks of Knowledge Recycled. Other company, product, and service names located on the Site or otherwise used in connection with the Services may be trademarks or service marks owned by third parties (the “Third Party Trademarks”, and, collectively with the Knowledge Recycled Trademarks, the “Trademarks”). Nothing on the Site, in the Services or in this Agreement should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Site or otherwise used in connection with the Services without our prior written consent specific for each such use. The Trademarks may not be used to disparage us or any applicable third party, our or the applicable third party’s products or services, or in any manner (using commercially reasonable judgment) that may damage any goodwill in the Trademarks. Use of any Knowledge Recycled Trademarks as part of a link to or from any website is prohibited without our prior written consent. All goodwill generated from the use of any Knowledge Recycled Trademark shall inure to our benefit.

You agree not to: (a) take any action that imposes an unreasonable load on the Site’s infrastructure; (b) use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any activity being conducted on the Site; (c) attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or making up the Site; (d) delete or alter any material we or any other person or entity posts on the Site; or (e) otherwise take any action in violation of our guidelines and policies.

Knowledge Recycled may enable Users to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the Knowledge Recycled Platform ("User Content"); and (ii) access and view User Content and any content that Knowledge Recycled itself makes available on or through the Knowledge Recycled Platform, including proprietary Knowledge Recycled content and any content licensed or authorized for use by or through Knowledge Recycled from a third party ("Knowledge Recycled Content" and together with User Content, "Collective Content").

You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Knowledge Recycled Platform or Collective Content, except to the extent you are the legal owner of certain User Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Knowledge Recycled or its licensors, except for the licenses and rights expressly granted in these Terms.

Subject to your compliance with these Terms, Knowledge Recycled grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view any Collective Content made available on or through the Knowledge Recycled Platform and accessible to you, solely for your personal and non-commercial use.  

By uploading, posting or otherwise making available any User Content on or through the Knowledge Recycled Platform, you grant to Knowledge Recycled, as you create, publish or make it available, a non-exclusive, worldwide, royalty-free, sub-licensable and transferable license to such User Content, for the term of the protection of the rights so licensed, to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such User Content to provide and/or promote the Knowledge Recycled Platform, in any media or platform, known or unknown to date and in particular on Internet and social networks. Unless you provide specific consent, Knowledge Recycled does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your User Content.

Knowledge Recycled may ask Instructors and users to provide photos so Knowledge Recycled can upload and use them on the Knowledge Recycled platform. You are responsible for ensuring that your Instructor Service is accurately represented and you will stop using the Images on or through the Knowledge Recycled Platform if they no longer accurately represent your Class, if you stop hosting the Instructor Service featured, or if your Knowledge Recycled Account is terminated or suspended for any reason.

You are solely responsible for all User Content that you make available on or through the Knowledge Recycled Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available on or through the Knowledge Recycled Platform or you have all rights, licenses, consents and releases that are necessary to grant to Knowledge Recycled the rights in and to such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or Knowledge Recycled 's use of the User Content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.    

You will not post, upload, publish, submit or transmit any User Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libellous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promotes illegal or harmful activities or substances; or (vi) violates any Knowledge Recycled policy. Knowledge Recycled may remove or disable access to any User Content that is in violation of applicable law, these Terms or Knowledge Recycled’s then-current Policies or Standards, or otherwise may be harmful or objectionable to Knowledge Recycled Users, third parties, or property. Where Knowledge Recycled removes or disables User Content, Knowledge Recycled will notify a User and provide the reasons for such a measure, unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Users or third parties, or (ii) contravene applicable laws. You may appeal such a decision by contacting customer service.

Knowledge Recycled respects copyright law and expects its Users to do the same. If you believe that any content on the Knowledge Recycled Platform infringes copyrights you own, please notify us in accordance with our Copyright Policy.  

10. Service Fees

Knowledge Recycled may charge fees to Instructors ("Instructor Fees") and/or Students ("Student Fees") (collectively, "Student Fees") in consideration for the use of the Knowledge Recycled Platform. More information about this can be found in our FAQs.

Any applicable Service Fees (including any applicable Taxes) will be displayed to an Instructor or Student prior to publishing or booking a Class. Knowledge Recycled reserves the right to change the Service Fees at any time and will provide Users adequate notice of any fee changes before they become effective. Such fee changes will not affect any bookings made prior to the effective date of the fee change.

You are responsible for paying any Service Fees that you owe to Knowledge Recycled. The applicable Service Fees (including any applicable Taxes) are collected by Knowledge Recycled Payments. Knowledge Recycled Payments will deduct any Instructor Fees from the Class Fee before remitting the payout to the Instructor. Any Student Fees are included in the Total Fees collected by Knowledge Recycled Payments. Except as otherwise provided on the Knowledge Recycled Platform, Service Fees are non-refundable.  

11. Payment Terms
11.1 Payment Wording

“Payout” refers to a payment initiated by Knowledge Recycled to a User

“Payment Method” refers to the financial instrument that you have used to pay through our online booking system e.g. credit card or PayPal account

“Payout Method” refers to the financial instrument that you have used to receive funds from us e.g. credit card or PayPal account

11.2 Verification

Knowledge Recycled may request further verification from any User to verify their payment method and check their identity. This is important to combat fraud. You authorise Knowledge Recycled to screen you against third party databases or other sources and request reports from service providers. We may ask you to verify your email address or provide government identification. We reserve the right to close or suspend you from Payment Services if we cannot verify you or your information.  

11.3 Payment Methods

When you add or use a Payment Method or Payout Method, you will be asked to provide customary billing information such as name, billing address, and financial instrument information either to Knowledge Recycled or its third-party payment processor(s). You must provide accurate, current, and complete information when adding a Payment Method or Payout Method, and it is your obligation to keep your Payment Method and Payout Method up-to-date at all times.

Please note that Payment Methods and Payout Methods may involve the use of third-party payment service providers, for example, Stripe.

These service providers may charge you additional fees when processing payments and Payouts in connection with the Payment Services (including deducting charges from the Payout amount). Knowledge Recycled is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method or Payout Method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your Payment Method or Payout Method.

You authorise Knowledge Recycled to store your Payment and Payout Method information and charge your Payment or Payout Method as outlined in these Terms. You are solely responsible for the accuracy of your Payment Method and Payout Method information and proving complete details. Knowledge Recycled is not responsible for any loss suffered by you as a result of incorrect Payment Method or Payout Method information provided by you.

11.4 Payment Terms for Instructors

Knowledge Recycled will collect all the Payments made my Users or Students at the time the booking of a Class or purchase of a ticket for a Class is made.

Knowledge Recycled may take a service fee “Instructor Fee” as outlined in Section 10.

Funds that an Instructor is owed from their class, with the deduction of any Instructor Fee or Fee from the Payment Provider and any Taxes applicable, will be released within 24 hours after the end of the class.

In order to receive this Payout, Instructor’s or Users must provide a valid Payout method to Knowledge Recycled in advance of their class.

The time it takes to receive Payouts once released by Knowledge Recycled may depend upon the Payout Method you select and the Payout Method provider’s processing schedule. Knowledge Recycled may delay or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or investigation.

The Knowledge Recycled Platform is currently only accepting Payment Methods and Payout Methods from the UK and in British Pound Sterling currency.

11.5 Payment Terms for Students

You authorise Knowledge Recycled to charge your selected Payment Method the Total Fees using our third-party payment provider.

Any additional fees for using offered payment options will be displayed via the Knowledge Recycled Platform and included in the Total Fees, and you agree to pay such fees by selecting the payment option.

If Knowledge Recycled is unable to collect the Total Fees as scheduled, Knowledge Recycled will collect the Total Fees at a later point. Once the payment transaction for your requested booking is successfully completed, you will receive a confirmation email.

You hereby authorise Knowledge Recycled to collect any amounts due, by charging the Payment Method provided at checkout, either directly by Knowledge Recycled or indirectly, via a third-party online payment processor, and/or by one or more of the payment methods available on the Knowledge Recycled (such as gift cards).

The Knowledge Recycled Platform is currently only accepting Payment Methods and Payout Methods from the UK and in British Pound Sterling currency.

11.6 Refunds

Any refunds due to Users, Instructors or Students will be carried out by Knowledge Recycled and will be processed within 72 hours. The timing may vary to receive any refunds and will depend on your Payment and Payout Methods and applicable Payment System.

It is your sole responsibility to ensure that you have provided Knowledge Recycled with the correct Payment and Payout information to receive any applicable refunds and Knowledge Recycled is not liable for any losses or damages that may incur due to providing wrong information.

11.7 Processing Errors

Knowledge Recycled will do their very best to rectify any payment processing errors that are brought to our attention. We are not liable for any processing errors on behalf of third-parties but will do our best to resolve any issue.

11.8 Collections

If Knowledge Recycled is unable to collect any amounts you owe under these Payments Terms, Knowledge Recycled may engage in collection efforts to recover such amounts from you.

Knowledge Recycled will deem any owed amounts overdue if payment has not been received one hundred days (100) days have elapsed after Knowledge Recycled first attempts to take payment using a User’s Payment Method.

If a User owes Knowledge Recycled a payment we are authorized to deduct the amount from a future payment, for example, if an instructor owes us an amount, Knowledge Recycled may take the owned amount from a future payment owned to the Instructor.

You hereby explicitly agree that all communication in relation to amounts owed will be made by electronic mail or by phone, as provided to Knowledge Recycled by you. Such communication may be Knowledge Recycled, or by anyone on their behalf, including but not limited to a third-party collection agent.

11.9 Liability

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorise another person to Pay on your behalf in any way, you are responsible for the actions taken by that person. Neither Knowledge Recycled nor any other party involved in creating, producing, or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Users or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Knowledge Recycled has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

11.10 Appointment of Knowledge Recycled as Collection Agent

Each User collecting payment for services provided via the Knowledge Recycled Platform (for example Instructor Services) (“Providing User”) hereby appoints Knowledge Recycled as the Providing User’s payment collection agent solely for the limited purpose of accepting funds from Users purchasing such services (“Purchasing Users”).

Each Providing User agrees that payment made by a Purchasing User through Knowledge Recycled, shall be considered the same as a payment made directly to the Providing User, and the Providing User will provide the purchased services to the Purchasing User in the agreed-upon manner as if the Providing User has received the payment directly from the Purchasing User. Each Providing User agrees that Knowledge Recycled may refund the Purchasing User in accordance with the Knowledge Recycled Terms. Each Providing User understands that Knowledge Recycled’s obligation to pay the Providing User is subject to and conditional upon successful receipt of the associated payments from Purchasing Users. Knowledge Recycled guarantees payments to Providing User only for such amounts that have been successfully received by Knowledge Recycled from Purchasing User in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Providing User, Knowledge Recycled assumes no liability for any acts or omissions of the Providing User.

Each Purchasing User acknowledges and agrees that, notwithstanding the fact that Knowledge Recycled is not a party to the agreement between you and the Providing User, Knowledge Recycled acts as the Providing User’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Providing User. Upon your payment of the funds to Knowledge Recycled, your payment obligation to the Providing User for the agreed upon amount is extinguished, and Knowledge Recycled is responsible for remitting the funds to the Providing User in the manner described in these Payments Terms, which constitute Knowledge Recycled’s agreement with the Purchasing User In the event that Knowledge Recycled does not remit any such amounts, the Providing User will have recourse only against Knowledge Recycled and not the Purchasing User directly.

12. Terms specific for Instructors
12.1 Terms applicable to all Classes

When creating a Class through the Knowledge Recycled Platform you must (i) provide complete and accurate information about your Instructor Service (such as class description, location, and calendar availability), (ii) disclose any restrictions (such as class rules) and requirements that apply (such as any minimum age or proficiency) and (iii) provide any other pertinent information requested by Knowledge Recycled. You are responsible for keeping your Class information (including calendar availability and description) up-to-date at all times.

You are solely responsible for setting a price for your Class (“Class Fee”). The class fee must be within our Pricing Policy guidelines, which you can read here. Once a Student requests a booking of your Class, you may not request that the Student pays a higher price than in the booking request.

All terms and conditions included in the Class listing must not conflict with these Terms and the cancellation policy must not conflict with our cancellation policy, outline here.

Any pictures, videos or text (collectively “Instructor Content”) used in your class Listing must accurately represent the class, quality and standard of your Instructor Services. Knowledge Recycled reserves the right to require certain quality standards for Instructor Content, as outlined here. For example, size of image, resolution and quality.

The placement of Classes on the Knowledge Recycled Platform may vary and is at the complete discretion of Knowledge Recycled. Knowledge Recycled may use a system for users to filter search results e.g. type of class or date availability. When tickets are sold for your class and Knowledge Recycled has received payment, or you have accepted a class booking request, you are entering into a legally binding agreement with the Student and are required to provide your Instructor Service(s) to the Student as described in your Class listing when the booking was made. You also agree to pay the applicable Instructor Fee and any applicable Taxes, or possible service fees the Payment Provider may have. Knowledge Recycled recommends that Instructors obtain appropriate insurance for their Instructor Services, for example, cancellation insurance or a policy that covers the actions of Students participating in your classes.

Knowledge Recycled is in no way liable for anything that may happen to you while interacting with the platform or performing your duties as part of Instructor Services or Classes.

A representative, employee or Director of Knowledge Recycled reserves the right to attend any of the classes at any time for quality control purposes.

12.2 Listing Instructor Services or Classes

To become an Instructor on the Knowledge Recycled platform, list your class, participate in your class, receive payment from Knowledge Recycled Payments and perform your class you must adhere to the following:

-       All classes must be submitted to Knowledge Recycled for approval

-       The class(es) submitted must always meet Knowledge Recycled’s quality control standards, as outlined here.

-       Knowledge Recycled reserves the right to decide if an Instructor or Class will be published on the Knowledge Recycled platform.

-       Knowledge Recycled reserves the right to remove an Instructor or Class from the platform at any time. Once a class is published, Knowledge Recycled reserves the right to remove it at any time.

-       When submitting a class to Knowledge Recycled you must, where applicable, fully inform potential and current Students, or Users, or any risks, requirements or safety guidelines for the class. For example, a minimum age, skill level, equipment, dress code etc. All Classes must be listed with the intent to be considerate to the safety of all User, Students or potential Students.

-       Once Knowledge Recycled has published the class(es) on the Knowledge Recycled platform you have the ability to change any information by informing Knowledge Recycled. For example, your availability.

-       By making your Class available for a particular time or date through the Knowledge Recycled platform, you agree that only people who book though Knowledge Recycled can attend that class.

-       You also agree that you will not allow people to attend your class available on the Knowledge Recycled Platform unless that person booked through Knowledge Recycled.

-       Instructors are alone responsible for Classes that they submit, list and provide. Knowledge Recycled only provides the Knowledge Recycled Services and is not a provider of Classes or other Instructor Services.

-       Knowledge Recycled is responsible for creating the listing on the Knowledge Recycled Platform, quality control for the Knowledge Recycled Platform and assisting in any queries related to the Knowledge Recycled Platform.

-       Knowledge Recycled does not own, manage, control or provide any classes or Instructor Services.

-       The Instructor is responsible for acquiring all equipment necessary to carry out their class(es). This includes any supplies, venues or other materials (collectively “Equipment”). The Instructor is solely responsible for ensuring that the equipment used or sourced for the Class(es) or Instructor Services is in good working condition, conforms to all safety laws (including inspection and operational servicing. Knowledge Recycled is not liable for any damages or loss to Instructor Equipment. The Instructor assumes all risk of damage or loss to their Equipment.

-       The Instructor is not permitted to authorise any third party to provide or teach the class on their behalf, unless authorised by Knowledge Recycled.

-       The Instructor is responsible for understanding and complying with all laws, rules and regulations that may apply to their class(es). For example, any licenses or permits required. Any permits, licenses or registration needed must be made prior to listing your Class(es).

-       The Instructor is responsible for making sure that their class(es) do/does not breach any relationship they may have with a third party (for example, a current employer)

-       If you are removed from the Knowledge Recycled Platform for any reason, you are not entitled to be re-listed onto the Knowledge Recycled Platform.

-       Instructors must obtain written permission from any Student if they wish to use their picture from their class for any personal, commercial or public use including sharing on social media.

13. Terms specific for Students
13.1 Terms applicable to all bookings

Subject to meeting any requirements set by Knowledge Recycled and/or the Instructor, you can book a Class available on the Knowledge Recycled Platform by following the respective booking process. All applicable fees, including the Class fee and any other charges (collectively, “Total Fees”) will be shown to you before booking a Class. When paying, you agree to pay the Total Fees for any booking requested.

Upon receipt of a booking confirmation from Knowledge Recycled, a legally binding agreement is formed between you and your Instructor, subject to any additional terms and conditions of the Instructor that apply. This includes the Knowledge Recycled cancellation policy (found here) and any rules and restrictions specified in the Class, for example, a minimum age requirement. Knowledge Recycled Payments will collect the Total Fees at the time of the booking.

If you book Instructor Services or a class on behalf of someone else, you are required to ensure that the guest will meet any requirements set by the Instructor, and is made aware of and agrees to these Terms and any terms and conditions, rules and restrictions set by the Instructor. If you are booking for an additional guest who is a minor, you represent and warrant that you are legally authorized to act on behalf of the minor. Minors may only participate in an Instructor Service or class if accompanied by an adult who is responsible for them.

You should carefully review the description of any Instructor Service or Class you intend to book to ensure you (and any additional guests you are booking for) meet any minimum age, proficiency or other requirements which the Instructor has specified in their Class listing. At your sole discretion you may want to inform the Instructor of any medical or physical conditions, or other circumstances that may impact your and any additional guest’s ability to participate in any Class. In addition, certain laws, like the minimum legal drinking age may also apply.

Before and during a Class you must at all times adhere to the Instructors’ instructions.

You may not bring any additional individuals to a Class unless they have also paid for a ticket through the Knowledge Recycled platform.

-       Students must obtain written permission from any Instructor if they wish to use their picture or content from their class for any personal, commercial or public use including sharing on social media.

-       If you fail to show up to a Class that you paid for, or you are late, you will not be entitled to a refund and the Instructor reserves the right to withhold the class at their discretion.

14. Cancellations, modifications and refunds

If an Instructor or Student wishes to make any modification to their booking or Class, they must contact Knowledge Recycled. They must agree to pay any additional Fees (including Service Fees and Booking Fees) that may be associated with modifications.

The Knowledge Recycled cancellation policy is outlined here, and a cancellation will be pursuant to that policy. Knowledge Recycled will refund the amount due (to both the Instructor and Students or Users) in accordance to the cancellation policy.

Instructors must adhere to the cancellation policy when they need to cancel their class or instructor services. Any payment owed to Knowledge Recycled will be taken from their next class or Instructors may arrange a payment within 14 days.

If an instructor cancels a Class, booking or Service, the Student will receive a full refund of their Total booking. If Knowledge Recycled cancels a Class, all Users will be notified and provide the reasons for such a cancellation. The only exception to notifying User is when the notification may impede the detection of illegal activities or harm or threaten the interests of any User involved.

If Knowledge Recycled needs to cancel a Class for any reason, Knowledge Recycled will initiate any refund necessary.

There may be extenuating circumstances e.g. safety concerns or weather, where an Instructor or Knowledge Recycled may need to cancel a class. This is at the discretion of Knowledge Recycled and will be decided on a case by case basis.

If the Instructor has already been paid, but the Student or Knowledge Recycled goes on to issue a cancellation or refund for the class given by the Instructor, Knowledge Recycled will be entitled to recover any money from the Instructor by a payment set up by the Instructor or subtracting the amount from any future payouts.

Instructors may use the email support@knowledgerecycled.com to request any cancellations or settle any refund payments due. Knowledge Recycled Payments will handle all payments and Students must not receive the money from Instructors directly. Instructors may not receive any money from the Students for both the payment of the class and also any refunds from Students that may be required.

15. Reviews

Students will be encouraged to leave a public review (“Review”) and a star rating (“Rating”) after completing a class with an Instructor. These Reviews and Ratings do not reflect the opinion of Knowledge Recycled. These Reviews and Ratings reflect the opinions of Students or Users only. Ratings and Reviews are not verified by Knowledge Recycled for accuracy and may be incorrect or misleading. Knowledge Recycled reserves the right to delete any Review or Rating at any time.

When completing or submitting a Ratings and Reviews they must be accurate and may not contain any offensive, abusive, malicious or damaging language. If the Ratings and Reviews are in another language Knowledge Recycled is not responsible for translation error or any meaning taken from a translation.

Users are prohibited from manipulating the Ratings and Reviews system in any manner, such as instructing a third party to write a positive or negative Review about another User.

16. Taxes

Instructors are solely responsible for their own tax obligations and must determine their own obligations to include any applicable VAT taxes in the Class submission for Knowledge Recycled’s approval.

Tax regulations may require us to collect appropriate Tax information from Instructors, or to withhold Taxes from payouts to Hosts, or both. If a Host fails to provide us with the required documentation under applicable law (e.g. a tax number) to alleviate our obligation (if any) to withhold Taxes from payouts to you, we reserve the right to withhold payouts up to the tax-relevant amount as required by law until resolution.

Instructors must be aware that their income from Classes or Instructor Services may be considered as Income tax and they must declare it as such, if necessary. They must be solely responsible for their own tax obligations and paying their own income tax or associated taxes.

17. Prohibited Activities

You, Users, Instructors, Students and Users are solely responsible for your/their compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Knowledge Recycled Platform.

You must not use the Knowledge Recycled Platform or Knowledge Recycled Content for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies Knowledge Recycled endorsement, partnership or otherwise misleads others as to your affiliation with Knowledge Recycled

You must not copy, store or otherwise access or use any information, including personally identifiable information about any other User, contained on the Knowledge Recycled Platform in any way that is inconsistent with Knowledge Recycled’s Privacy Policy or these Terms or that otherwise violates the privacy rights of Users or third parties

You must not discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive or disruptive behaviour;

You must not request, accept or make any payment, related to your Class or a Class outside of the Knowledge Recycled platform. If you do so, Knowledge Recycled reserves the right to remove you from the platform. You also accept all risks and responsibility associated with such a payment and hold Knowledge Recycled harmless from any liability from such a payment.

You must not tarnish the Knowledge Recycled Brand in any way, including unauthorised use of Content, registering and/or using Knowledge Recycled or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Knowledge Recycled domains, trademarks, taglines, promotional campaigns or Content.

You must not use any technological automated means to access, collect data or content from the Knowledge Recycled Platform or attempt to circumvent any technological measure implemented by Knowledge Recycled or any other third party to protect the Knowledge Recycled Platform. This includes any action that might affect the performance or functioning of the Knowledge Recycled Platform.

If you think that any User is acting inappropriately, offensively, illegally, violently it is your responsibility to report such a matter to the authorities and contact Knowledge Recycled immediately. Knowledge Recycled is not obligated to take any action that is not required by law and Knowledge Recycled is not obligated to actively seek out circumstances that indicate illegal activity.

18. Termination

You may terminate this Agreement at any time by stopping all activity or interaction with our Platform. If you wish to remove yourself as an Instructor on the Platform you must contact us immediately. Any Classes will automatically be cancelled, and all Students will receive a full refund. The refund and cancellation policy will still hold true if you have a class where bookings have already taken place.  

Knowledge Recycled may terminate this Agreement at any time by notifying you via email to your registered email address. Knowledge Recycled reserves the right to terminate the Agreement, remove you from the platform, or limit your access to the Knowledge Recycled platform if your Classes or Instructor Services fail to meet applicable quality or eligibility criteria; you have repeatedly cancelled Classes; you have failed to responded to booking requests; you have received poor Ratings and Reviews; Knowledge Recycled has received complaints about you, your performance or your conduct; you have provided inaccurate, fraudulent, outdated or incomplete information during the Knowledge Recycled submission process or thereafter.

Knowledge Recycled reserves the right to immediately, without notice, terminate this Agreement and/or remove you/or provide accede to/from the Knowledge Recycled Platform if :you have breached your obligations under these Terms or our Policies; violated the law; to protect the safety of our Users and Knowledge Recycled.

If any of the measures above are taken by Knowledge Recycled you will not be entitled to any compensation, or any compensation for pending or confirmed Classes that were cancelled as a result. Students will be refunded in full for any cancelled Classes due to these circumstances.

When this Agreement has been terminated, you are not entitled to being accepted onto the Knowledge Recycled platform again, as an Instructor or Student or User. If Knowledge Recycled has terminated your Agreement and removed, you from the platform you may not submit a new request to become an Instructor on the Knowledge Recycled platform or use the Knowledge Recycled platform through another User or User. You may also not book any Classes through the Knowledge Recycled platform.

19. Severability

If any provision or part of a provision in these terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

20. Liability

Knowledge Recycled is not liable for any harm, damages, personal injury, possession loss, theft or damage that you may incur as a result of being an Instructor on the Knowledge Recycled platform or as a Student or User.

Knowledge Recycled is not responsible or liable for any harm, damages, personal injury, possession loss, theft or damage when a class is taking place. Booking a ticket and taking part in any class booked through the Knowledge Recycled Platform is done at your own risk. You are also responsible for any minor that participates in any class booked through the Knowledge Recycled Platform.

To the maximum extent permitted by applicable law, you agree to release, defend (at Knowledge Recycled’s option), indemnify, and hold Knowledge Recycled and its affiliates and subsidiaries, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Terms or our Policies or Standards, (ii) your improper use of the Knowledge Recycled Platform or any Knowledge Recycled Services, (iii) your interaction with any User participation in any Class, Event on Instructor Services, participation in the Knowledge Recycled Payment Service, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, participation or use, or (iv) your breach of any laws, regulations or third party rights.

This Section, 20, will survive any termination of these Terms and will continue to apply even if you stop using the Knowledge Recycled Platform or terminate your relationship with Knowledge Recycled and the Knowledge Recycled Platform.

21. Dispute Resolution

Knowledge Recycled is committed to solving any disputes in a consumer-friendly manner. We welcome any disputes to first be emailed to support@knowledgerecycled.com to be solved in an informal negotiation.

22. Feedback

We welcome any feedback you may have for the Knowledge Recycled platform. You can submit this via email: support@knowledgerecycled.com. Any feedback you make, including suggestions for improvements, will be considered non-confidential and non-proprietary to you.

23. Applicable Law and Jurisdiction

These Terms are governed by and construed in accordance with UK law.

24. General Provisions

Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms constitute the entire Agreement between Knowledge Recycled and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Knowledge Recycled and you in relation to the access to and use of the Knowledge Recycled Platform.

No joint venture, partnership, employment, or agency relationship exists between you and Knowledge Recycled as a result of this Agreement or your use of the Knowledge Recycled Platform.

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Knowledge Recycled’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Knowledge Recycled 's prior written consent. Knowledge Recycled may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement at any time remains unaffected.

Unless specified otherwise, any notices or other communications to Users permitted or required under this Agreement, will be provided electronically and given by Knowledge Recycled via email.
